c. Provide the services of staff as reasonable and necessary to serve as advisors for the <br />Study. <br />d. Reimburse City for the actual professional costs to complete the Study. The total <br />amount of the reimbursement shall not to exceed $15,000. Only the professional <br />services costs and expenses are eligible for reimbursement, not City staff costs or <br />expenses. City shall invoice VLAWMO for the amounts eligible for reimbursement. <br />Within 30 days of receipt of an invoice and supporting documentation of eligible <br />costs incurred, the watershed will reimburse City for contracted costs incurred for the <br />completion of the Study. <br />3. Use of Study. The reports or documents produced in whole or in part under this MOU will <br />be subject to fair use and may not be the subject of an application for copyright by or on <br />behalf of City or VLAWMO. City and the VLAWMO may use, without restriction, the work <br />products of the Study including, but not limited to, any associated reports and documents. <br />4. Term. This MOU is effective on the date of the last party to execute it. This MOU shall <br />terminate upon completion of the Study and reimbursement of City for the costs incurred as <br />provided herein. <br />5. Termination. Each party has the right to terminate this MOU at any time and for any reason <br />by submitting written notice of the intention to do so to the other party at least thirty (30) <br />days prior to the specified effective date of such termination. VLAWMO shall remain <br />responsible for reimbursing City for the costs actually incurred to the date of termination, <br />unless VLAWMO terminates this MOU as a result of a material breach by City. <br />6. Entire Agreement; Amendments. This MOU constitutes the entire agreement between the <br />parties regarding this matter.
