The Vice -Chair shall perform the duties of the Chair during the temporary absence of the <br />Chair, and shall perform such duties during the vacancy of that office until the EAC elects a new <br />Chair. <br />The Vice -Chair shall perform such other duties as may be assigned by the Chair. <br />Section 7. Secretary <br />The Secretary shall maintain the records, record the minutes, and submit approved minutes <br />and relevant materials to the City Clerk- Treasurer for the purpose of maintaining a permanent <br />record for public review. <br />The Secretary shall inform EAC members of upcoming meetings, and shall send a copy of the <br />minutes of the previous meeting at least one (1) week before the next meeting. <br />Section 8 Additional duties <br />In addition to the duties and powers described herein, any officer of the EAC shall have such <br />additional powers and perform such additional duties as prescribed by the EAC. <br />ARTICLE V. MEETINGS <br />Section 1. Regular meetings. <br />The EAC shall hold regular monthly meetings. The date, time, and location of meetings shall <br />be established by agreement of the EAC members. All meetings shall be open to the public. <br />Section 2. Special meetings <br />Special meetings may be called by the Chair, by the Vice -Chair in the absence of the Chair, or <br />by two (2) other voting members. <br />Section 3. Quorum <br />The presence of a simple majority of the voting members shall constitute a quorum. A <br />simple majority vote of the quorum is required to pass a motion before the EAC. Proxy voting is <br />not permitted. <br />Section 4. The Chair shall preside over EAC meetings in an orderly manner. <br />ARTICLE VI AMENDMENTS <br />Section 1. Amendment procedure <br />The EAC by -laws may be amended by a resolution, made in writing, and adopted by a two - <br />thirds majority consent of all EAC voting members. The Secretary shall number each <br />amendment, note the date of adoption, and have it distributed to all EAC members and City <br />Officials. Any amendment to the EAC by -laws must be submitted to City Council for final <br />approval. <br />
