The Vice -Chair shall perform the duties of the Chair during the temporary absence of the Chair, and shall perform such duties during the vacancy of that office until the EAC elects a new Chair. The Vice -Chair shall perform such other duties as may be assigned by the Chair. Section 7. Secretary The Secretary shall maintain the records, record the minutes, and submit approved minutes and relevant materials to the City Clerk- Treasurer for the purpose of maintaining a permanent record for public review. The Secretary shall inform EAC members of upcoming meetings, and shall send a copy of the minutes of the previous meeting at least one (1) week before the next meeting. Section 8 Additional duties In addition to the duties and powers described herein, any officer of the EAC shall have such additional powers and perform such additional duties as prescribed by the EAC. ARTICLE V. MEETINGS Section 1. Regular meetings. The EAC shall hold regular monthly meetings. The date, time, and location of meetings shall be established by agreement of the EAC members. All meetings shall be open to the public. Section 2. Special meetings Special meetings may be called by the Chair, by the Vice -Chair in the absence of the Chair, or by two (2) other voting members. Section 3. Quorum The presence of a simple majority of the voting members shall constitute a quorum. A simple majority vote of the quorum is required to pass a motion before the EAC. Proxy voting is not permitted. Section 4. The Chair shall preside over EAC meetings in an orderly manner. ARTICLE VI AMENDMENTS Section 1. Amendment procedure The EAC by -laws may be amended by a resolution, made in writing, and adopted by a two - thirds majority consent of all EAC voting members. The Secretary shall number each amendment, note the date of adoption, and have it distributed to all EAC members and City Officials. Any amendment to the EAC by -laws must be submitted to City Council for final approval.
