meetings without notifying the Chair or the Vice - Chair, or has four (4) unexcused absences <br />throughout a twelve (12) month period will be removed from the Committee without a vote. <br />The dismissed member shall be so informed in writing. <br />Section 5 Compensation <br />All appointed EAC members shall serve without remuneration. <br />Section 6. Membership rights and responsibilities <br />All members must attend meetings of the EAC, participate fully in EAC discussions, and have <br />one vote. Members may be asked to serve on sub - committees and task forces established by the <br />EAC. No member of the EAC may speak or act on behalf of the EAC without prior authorization <br />from the Committee. <br />ARTICLE IV OFFICERS <br />Section 1. Officers of the EAC shall be Chair, Vice - Chair, and Secretary. <br />Section 2. Election <br />Officers shall be elected annually from among the EAC members at the first meeting after <br />January 1. Officers shall be elected by a simple majority vote of those present and voting. No <br />officer shall be eligible to hold more that two (2) consecutive terms in the same office. In filling <br />vacancies for unexpired terms, an officer who has served more than half a term is considered to <br />have served a full term in that office. <br />Section 3. Vacancies <br />A vacancy in any office shall be filled by a majority vote of the EAC at its next scheduled <br />meeting. The elected successor shall serve the unexpired term of office. <br />Section 4. Removal from office. <br />Any officer may be removed from office by the EAC members with a two- thirds majority <br />consent of all voting members. The matter of removal may be acted upon at any meeting of the <br />EAC, provided that written notice of intention to consider said removal has been given to all <br />members, including the affected officer, at least thirty (30) days prior to meeting. <br />Section 5. Chair <br />The Chair shall preside at all scheduled meetings, set the agenda, oversee the implementation <br />of decisions made by the EAC, and serve as primary liaison with City Staff and City Council. <br />The Chair may appoint members of the EAC to sub - committees and task forces and assign <br />duties to such groups with approval of EAC members. <br />The Chair shall serve as primary spokesperson for the EAC. <br />Section 6. Vice -Chair <br />
