meetings without notifying the Chair or the Vice - Chair, or has four (4) unexcused absences throughout a twelve (12) month period will be removed from the Committee without a vote. The dismissed member shall be so informed in writing. Section 5 Compensation All appointed EAC members shall serve without remuneration. Section 6. Membership rights and responsibilities All members must attend meetings of the EAC, participate fully in EAC discussions, and have one vote. Members may be asked to serve on sub - committees and task forces established by the EAC. No member of the EAC may speak or act on behalf of the EAC without prior authorization from the Committee. ARTICLE IV OFFICERS Section 1. Officers of the EAC shall be Chair, Vice - Chair, and Secretary. Section 2. Election Officers shall be elected annually from among the EAC members at the first meeting after January 1. Officers shall be elected by a simple majority vote of those present and voting. No officer shall be eligible to hold more that two (2) consecutive terms in the same office. In filling vacancies for unexpired terms, an officer who has served more than half a term is considered to have served a full term in that office. Section 3. Vacancies A vacancy in any office shall be filled by a majority vote of the EAC at its next scheduled meeting. The elected successor shall serve the unexpired term of office. Section 4. Removal from office. Any officer may be removed from office by the EAC members with a two- thirds majority consent of all voting members. The matter of removal may be acted upon at any meeting of the EAC, provided that written notice of intention to consider said removal has been given to all members, including the affected officer, at least thirty (30) days prior to meeting. Section 5. Chair The Chair shall preside at all scheduled meetings, set the agenda, oversee the implementation of decisions made by the EAC, and serve as primary liaison with City Staff and City Council. The Chair may appoint members of the EAC to sub - committees and task forces and assign duties to such groups with approval of EAC members. The Chair shall serve as primary spokesperson for the EAC.
