2 <br /> LA515\1\1096671.v1 <br />officers, agents, and employees from and against all claims, suits, demands, damages, losses, <br />expenses, and liabilities including, without limitation, attorneys’ fees, for bodily injury or <br />property damage arising out of, resulting from, or relating in any manner to Licensee's use of <br />the License Area by Licensee or its park users, officials, agents, contractors, and employees, <br />and provided that any such claim, suit, demand, damage, loss, expense, or liability is caused <br />in whole or in part by any act or omission of the Licensee or by anyone directly or indirectly <br />employed by Licensee or its contractors, except to the extent such claim, suit, demand, <br />damage, loss, expense, or liability is caused by the willful or negligent act or omission of the <br />Licensor. The provisions of this paragraph shall survive the expiration or termination of this <br />Agreement. <br />7. Surrender of Premises. Licensee hereby agrees upon the expiration or termination of this <br />Agreement to vacate the Property and re-deliver the License Area to the Licensor in good <br />order, condition, and repair (and in the same condition as delivered, ordinary wear and tear <br />excepted). <br />8. Termination. Either party may terminate this Agreement, with or without cause, at any time <br />by giving written notice to the other, specifying the date of termination, such notice to be <br />given not less than 30 days prior to the date specified in such notice for the date of <br />termination. In the event of a breach of this Agreement by Licensee, Licensor may terminate <br />this Agreement upon providing 24 hours prior written notice to Licensee. Notwithstanding any <br />termination, the covenants of this Agreement governing indemnification and waiver shall <br />survive. <br />9. Compensation. Licensor will not receive any monetary compensation from Licensee for <br />allowing use of the License Area by the Licensee. <br />9.5 Waiver. Licensee waives and releases any claims of ownership or prescriptive rights to the <br />License Area and acknowledges that the same is and has been permissive. <br />10. Additional Covenants of Licensee. <br />A. Contact Information. Licensee shall provide the Licensor with one or more emergency <br />contacts, including phone numbers, who shall be available during all times that <br />Licensee is utilizing the License Area. <br /> <br />B. Damage to Premises. Licensee shall be liable for all damages to the Property caused <br />by or arising out of the Licensee’s use under this Agreement (ordinary wear <br />and tear excepted). <br />11. Governing Law. It is agreed that this Agreement shall be governed by, construed, and enforced <br />in accordance with the laws of the State of Minnesota. <br />12. Entire Agreement.
