1 <br /> LA515\1\1096671.v1 <br />LICENSE AGREEMENT BETWEEN <br />CHAMA MISSION, LLC AND THE CITY OF LAKE ELMO <br />THIS LICENSE AGREEMENT (this “Agreement”) is made by and between Chama Mission, <br />LLC, a Minnesota limited liability company (“Licensor”) and the City of Lake Elmo (“City” or <br />“Licensee”), a Minnesota municipal corporation. <br />WHEREAS, the Licensor is the owner of the properties located at 3481 Laverne Avenue North, <br />Lake Elmo, MN 55042 / 11320 Upper 33rd Street North, Lake Elmo, MN 55042 (collectively, <br />the “Property”); and <br />WHEREAS, the Licensee desires to utilize the Property for surfaces access to Lions Park and has <br />requested permission to use it; and <br />WHEREAS, the Licensor desires to grant a license to the Licensee for the purpose of limited <br />surface access by Licensees to Lions Park. <br />NOW, THEREFORE, in consideration of the mutual promises in this Agreement, the parties <br />agree as follows: <br />1. Incorporation. The above recitals are a material part of this Agreement and are incorporated <br />herein. <br />2. Grant of License and Term. The Licensor hereby grants to Licensee a revocable, non-exclusive <br />license to make surface use of the Property, which area is described on the <br />attached Exhibit A, (hereinafter “License Area”) subject to the terms of this Agreement. The <br />term of this Agreement <br /> shall commence on June 1st of 2026 and expire on April 30th of 2028 (“Term”). <br />3. Permitted Use. The License Area may only be used by Licensee for the purposes of accessing <br />Lions Park. Licensee shall not install any structures or improvements within the License Area. <br /> <br />4. Maintenance and Repair of Premises. The Licensor shall, at its sole cost and expense, keep and <br />maintain the License Area in good condition and shall not damage it. <br />5. Compliance with all Applicable Laws. Throughout the term, Licensee shall obtain and <br />maintain, at its sole cost and expense, all approvals, permits, or licenses required by any <br />governmental authority which are necessary for Licensee’s permitted use of the License Area; <br />further, Licensee shall, at its sole cost and expense, at all times during the term hereof comply <br />with all applicable laws, ordinances, rules, regulations, and requirements of any governmental <br />authority having jurisdiction over the Property and the requests of the Licensor. <br />6. Indemnification. To the fullest extent permitted by law, the Licensee assumes liability for and <br />shall save and protect, hold harmless, indemnify, and defend the Licensor and its officials,
