suited to Grantor and the member municipalities of Commission. This has resulted in the <br />preparation and adoption of this Ordinance and Franchise as defined herein, in compliance <br />with all requirements of the State of Minnesota. <br />1.02 Authority. The original Ramsey/Washington Counties Suburban Cable <br />Communications Commission, under federal and state authority, granted a Franchise for a <br />System operating within the Commission's territorial boundaries and prohibited operation <br />of a System without a Franchise, and Commission carried out the ongoing administration <br />and enforcement of the Franchise. The original Commission is to be dissolved, a successor <br />Commission is to be created pursuant to Minnesota Statutes § 471, and the individual <br />member municipalities comprising Commission, including Grantor, must therefore enter into <br />a franchise relationship with Group W Cable of Ramsey/Washington, Inc. d/b/a Meredith <br />Cable ("Company") pursuant to the same substantive terms and conditions of the original <br />Commission's Franchise. <br />1.03 Franchise Processing Fee. Company shall be required to reimburse Grantor <br />for all costs incurred including attorneys' fees in soliciting and evaluating applications, and <br />processing the franchise award, and any other ongoing expenses connected with the <br />franchise award, to the extent that such costs are not recovered from application fees. <br />1.04 Franchise Agreement. Grantor and Company are hereby authorized to, at the <br />time of acceptance, enter into a Franchise Agreement, consistent with this Ordinance, <br />governing the relationship between Grantor and Company; providing for regulation and use <br />of the System; and prescribing liquidated damages for the violation of its provisions.
