The Project Director will be reimbursed for out of pocket expenses incurred for <br />performing the duties of this job that are directly related to performing the job duties. This <br />reimbursement will not include any cell phone charges or overhead for her off site office space or <br />her off — site office equipment and supplies. <br />7. OFFICE ACCOMODATIONS. The Project Director shall be provided office space in city <br />hall for performing her duties and provided some office support staff services as needed tp <br />perform her duties. From time to time, she may perform some of her duties from her own off -site <br />office such as writing reports and scheduling future meetings. <br />8. EMPLOYMENT-AT-WILLITERMINATION. The City and the Project Director <br />acknowledge and agree that the position of Project Director is an employee -at -will position of a <br />temporary nature. Neither the Project Director nor the City is bound to continue the employment <br />relationship if either chooses, at its will, to end the relationship at any time, with or without cause. <br />Neither party shall be entitled to any type of hearing to appeal or challenge the determination of <br />the other party to terminate the employment relationship. <br />City shall be required to give the Project Director not less than thirty (30) days advance <br />notice of termination of employment. The Project Director shall provide to the City thirty (30) days <br />advance written notice of her intent to voluntarily terminate her employment with the City, unless <br />the City agrees to a lesser amount of notice time. <br />7. INDEMNIFICATION. Employer shall defend and indemnify Employee pursuant to Minn. <br />Stat. § 466.07 and § 465.75. In addition, Employer shall defend, hold'harmless, and indemnify <br />Employee from all torts; civil damages, penalties, and fines; violation of statutes, laws, rules, and <br />ordinances, provided the Employee was acting in the performance of the duties of the position. <br />8. GENERAL PROVISIONS: <br />a. Notices. All notices, requests and demands given to or made pursuant to this <br />Employment Agreement shall be in writing and personally delivered or mailed, <br />postage prepaid, as follows: <br />To City: The Mayor and City Council <br />City of Lake Elmo <br />3800 Laverne Avenue North <br />Lake Elmo, Minnesota 55042 <br />To Project Director: <br />Susan Hoyt <br />2217 Foiweli Avenue <br />Falcon Heights, Minnesota 55108 <br />b. Complete Agreement. This Agreement constitutes the entire agreement between <br />the parties and supersedes any prior oral or written agreements between the <br />parties. This Agreement can only be modified by written agreement of both parties. <br />This Agreement shall be interpreted in accordance with the laws of the State of <br />Minnesota. If the parties disagree upon the interpretation of this Agreement, and <br />cannot resolve their differences in good faith, the parties agree to request non- <br />binding mediation from the Minnesota Bureau of Mediation Services. Each party <br />will be responsible for its own attorneys' fees, and the parties will split equally any <br />other mediation fees. <br />c Lege4ity: -The parties -covenant -and -and-agree the-provision&con tacned,herein. are - - <br />reasonable and are not known or believed to be in violation of any federal or state <br />law or regulation.
