The Project Director will be reimbursed for out of pocket expenses incurred for performing the duties of this job that are directly related to performing the job duties. This reimbursement will not include any cell phone charges or overhead for her off site office space or her off — site office equipment and supplies. 7. OFFICE ACCOMODATIONS. The Project Director shall be provided office space in city hall for performing her duties and provided some office support staff services as needed tp perform her duties. From time to time, she may perform some of her duties from her own off -site office such as writing reports and scheduling future meetings. 8. EMPLOYMENT-AT-WILLITERMINATION. The City and the Project Director acknowledge and agree that the position of Project Director is an employee -at -will position of a temporary nature. Neither the Project Director nor the City is bound to continue the employment relationship if either chooses, at its will, to end the relationship at any time, with or without cause. Neither party shall be entitled to any type of hearing to appeal or challenge the determination of the other party to terminate the employment relationship. City shall be required to give the Project Director not less than thirty (30) days advance notice of termination of employment. The Project Director shall provide to the City thirty (30) days advance written notice of her intent to voluntarily terminate her employment with the City, unless the City agrees to a lesser amount of notice time. 7. INDEMNIFICATION. Employer shall defend and indemnify Employee pursuant to Minn. Stat. § 466.07 and § 465.75. In addition, Employer shall defend, hold'harmless, and indemnify Employee from all torts; civil damages, penalties, and fines; violation of statutes, laws, rules, and ordinances, provided the Employee was acting in the performance of the duties of the position. 8. GENERAL PROVISIONS: a. Notices. Complete Agreement. This Agreement constitutes the entire agreement between the parties and supersedes any prior oral or written agreements between the parties. This Agreement can only be modified by written agreement of both parties. This Agreement shall be interpreted in accordance with the laws of the State of Minnesota. If the parties disagree upon the interpretation of this Agreement, and cannot resolve their differences in good faith, the parties agree to request non- binding mediation from the Minnesota Bureau of Mediation Services.
