57404 <br />Miscellaneous Requisition No. 5640, State Project No. 8282 (T.H. 94=392) and in <br />the records of the Federal Highway Administration as Minnesota Project 1094-3 <br />(24) 246. <br />ARTICLE V - GENERAL PROVISIONS <br />Section A. <br />In consideration of payment to the Village of part of the costs of the Village's <br />Helmo Avenue access service street construction as provided herein, the Village <br />agrees to properly maintain the completed access service road and all facilities <br />therein without cost or expense to the State. <br />Section B. <br />it is mutually understood and agreed by the parties tG tZi_v o^rw� ^e='r that the <br />aforesaid payment by the State to the Village is contingent upon the consumation <br />by the owners of said Parcel 17 and the State in the granting of a quit claim deed <br />from the owners of said Parcel 17 to the State for the elimination of the access <br />to said Parcel 17 from Trunk Highway No. 12 via Morgan Avenue. <br />Section Co <br />The Village indemnifies, saves and holds.harmless the State and all of its agents <br />and employees of and from any and all claims, demands, actions or causes of action <br />of whatsoever nature or character arising out of or by reason of the execution or <br />performance of the work provided for herein, and further agrees to defend at its own <br />sole cost and expense any action or proceeding commenced for the purpose of asserting <br />any claim of whatsoever character arising as a result of the work to be performed <br />hereunder. <br />-8- <br />
