1990 <br />MEMORANDUM OF AGREEMENT FOR YARD WASTE COMPOSTING <br />THIS AGREEMENT made and entered into as of this day of <br />, 19 by and between the County of Washington, <br />hereinafter referred to as the "County" and the City of Lake <br />Elmo, hereinafter referred to as the "City." <br />WHEREAS, the County desires to implement a yard waste <br />composting program to reduce the County's reliance on landfills, <br />and <br />WHEREAS, the City wishes to further the success of the <br />composting program and participate in its implementation, <br />NOW, THEREFORE, the parties hereto agree as follows: <br />1. Term. <br />The term of this Agreement is from January 1, 1990 to <br />December 31, 1990, the date of the signature of the <br />parties notwithstanding. <br />2.' The County agrees to assume the following obligations: <br />a. Maintain the yard waste composting site (including <br />grading and hauling gravel if necessary), and <br />construct, turn, and monitor the leaf windrows. <br />If work is performed by the City to maintain the <br />yard waste composting site, the County shall <br />reimburse the City for all of its costs in an <br />amount not to exceed $2,400.00. All work <br />performed shall be at the direction of the <br />Washington County Public Health Department. The <br />County has no obligation to perform work or <br />reimburse the City for work performed to prepare, <br />construct, maintain, and operate a City sponsored <br />brush processing operation in conjunction with the <br />yard waste composting site. <br />b. Reimburse the City for its costs for the City <br />employee monitoring the site, in an amount up to <br />$4,100.00 in 1990. It is further agreed by the <br />parties that the monitor shall not be deemed an <br />employee of the County. <br />C. Pay for a publicity program in an amount not to <br />exceed $1,400.00 for 1990 for the Yard Waste <br />Composting Program, as developed jointly by the <br />City and the County. <br />d. Indemnify and hold the City and its officers, <br />employees, agents, and volunteer workers harmless <br />from any claims, suits or damages arising out of <br />1 <br />
