Agency endeavors to use every <br />reasona]le precaution to safeguard public relations <br />matter in Agency's possession which belongx to-X' <br />City, but are not.liable for its loss, damage or <br />destruction, except when it is established that <br />loss, damage or destruction is due to Agency's <br />negligence. Any costs City incurs as a result of <br />Agency's negligence will be reimbursed to City by <br />Agency. <br />Agency will not disclose any proprietary <br />information about City or release any document <br />without prior approval from City. <br />Agency agrees to exercise judgment in the <br />preparation and placing of all publicity for City, <br />with a view to avoiding any claims, proceedings or <br />suits being made or instituted against City or <br />Agency. It is mutually agreed, however, that City <br />will indemnify Agency against any loss which Agency <br />may incur as a result of any claim, proceeding or <br />suit, based upon any publicity which Agency has <br />prepared for City, which was approved by City <br />before being published unless such loss arises out <br />of Agency's own negligence or failure to discharge <br />Agency's duties. <br />I. Right to Examine Records. During the life of this <br />Agreement, all contracts, papers, correspondence, copy, <br />accounts, orders or other matters pertaining to City's <br />business and under Agency's control are open to City's <br />examination at any time during Agency's regular business <br />hours. <br />J. Ownership of Materials. All materials produced by Agency <br />as a result of this Agreement shall be the property of _ <br />the City and may not be used or distributed, except in <br />furtherence of the requirements of this Agreement, <br />without prior consent of the City. <br />K. Termination of Contract. This Agreement shall continue <br />in force until terminated by either party. Notice of <br />termination shall be sent by registered mail to the <br />principal place of business of the party to whom such <br />notice is addressed and shall be effective upon receipt. <br />In the event of termination by the City, the City shall <br />be responsible for all professional services rendered and <br />for all costs incurred by the Agency, including uncancel- <br />able contracts made by the Agency on behalf of the City, <br />up to the effective date of termination.
