CONTRACT FOR PROFESSIONAL TECHNICAL SERVICES BETWEEN <br />THE CITY OF LAKE ELMO, MINNESOTA AND DPRA INCORPORATED <br />THIS CONTRACT, which shall be interpreted pursuant to the laws of the State of <br />Minnesota, between the City of Lake Elmo, Minnesota (hereinafter CITY) and DPRA <br />Incorporated, 245 East Sixth Street, Suite 813, St. Paul, Minnesota 55101 (hereinafter <br />CONTRACTOR), provides for the following: <br />WHEREAS, the CITY, pursuant to is <br />empowered to contract for technical services to evaluate the Environmental Impact <br />Statement on a proposed solid waste landfill within the City of Lake Elmo, and <br />WHEREAS, the City Council, in Resolution , has selected the <br />CONTRACTOR through competitive bidding to conduct this review, and <br />WHEREAS, CONTRACTOR represents that it is duly qualified and willing to perform <br />the services set forth herein, - <br />NOW, THEREFORE, it is agreed: <br />I. CONTRACTOR'S DUTIES. CONTRACTOR shall conduct the activities associated <br />with the review and comment on an Environmental Impact Statement (EIS) on a <br />proposed sanitary landfill site in the City of Lake Elmo as described in Attachment A. <br />Throughout the project, the CONTRACTOR will monitor and reevaluate the scope of <br />services required by this agreement as detailed in Attachment A, Contract Tasks, to <br />ensure that the tasks accomplished by the CONTRACTOR, and/or subcontractors, will <br />be reasonable and meaningful to the purpose of the contract. Any part of Contract <br />Tasks found to be not reasonable, meaningful and/or redundant shall be brought to the <br />attention of the CITY for consideration of removal from the list of Contract Tasks or <br />reduction in size, as applicable. Any tasks identified during this constant evaluation <br />process that are not listed in Attachment A shall also be brought to the attention of the <br />CITY. <br />II. CONSIDERATION AND TERMS OF PAYMENT. <br />A Consideration. <br />Consideration for all services and goods performed and goods or materials supplied by <br />CONTRACTOR pursuant to this contract shall be coordinated or paid by the CITY as <br />follows: <br />Total compensation, including reimbursements for travel and subsistence expenses <br />actually and necessarily incurred by CONTRACTOR that are eligible for reimbursement <br />by the Metropolitan Council will be coordinated (submitted to the Metropolitan Council <br />and reimbursements forwarded to CONTRACTOR) in accordance with the Metropolitan <br />Council's Landfill Site Evaluation Cost Reimbursement guidelines as established under <br />Minnesota Statutes Section 473.831.
