<br />GRANT AGREEMENT
<br />This Grant is between the State of Minnesota, acting through its Department of Natural Resources, Division of Forestry,
<br />S00 Lafayette Rd, St Paul MN SS 155-4044 ("State") and City of Mounds View ; 2401 High«Tay 10, Mounds View,
<br />MN 55112 ("Grantee").
<br />Recitals
<br />1. Minn. Stat. '88.82, the Minnesota Releaf program is established in the department of natural resources to encourage,
<br />promote, and fluid the planting, maintenance, and improvement of trees in this state; and Laws of 2003, Chapter 128,
<br />Sec 9, subd. Sg appropriates funding for matching grants to local communities to protect native oak forests from oak
<br />wilt and to provide technical assistance and cost sharing with corrnnunities for tree planting and community forestry
<br />assessments.
<br />2. The State is in need of assistance promoting of Community Forest Ecosystem Health.
<br />3. The Grantee represents that it is duly qualified and agrees to perform all services described in this Grant Agreement to
<br />the satisfaction of the State.

<br />Grant Agreement
<br />1. Terms of Grant Agreement
<br />1.1 Effective date: July O1, 2005, or the date the State obtains all required signatures under Minnesota Statutes Section
<br />16C.05, subdivision 2, whichever is later. Grantee may begin incurring expenses on July 1, 2005, however, no
<br />reimbursement for this project will be made until the GRANT AGREEMENT is fully e$ecuted.
<br />1.2 Expiration date: June 8, 2007, or until all obligations have been satisfactorily fulfilled, whichever occurs first.
<br />1.3 Survival of Terrns. The following clauses survive the expiration or cancellation of this Grant Agreement: 8.
<br />Liability; 9. State Audits; 10. Government Data Practices and Intellectual Property; 13. Publicity and Endorsement;
<br />14. Governing Law, Jurisdiction, and Venue; and 16 Data Disclosure.
<br />2. Grantee's Duties
<br />The Grantee, who is not a state employee, will:
<br />2.1 GRAI~'TEE SHALL: Complete the work as outlined by (1) the GRANTEE's Project Proposal, which is attached
<br />hereto and incorporated herein, and (2) the 2005-2007 Minnesota Releaf Program Guidelines and Application
<br />Packet, which is incorporated by reference herein. Any changes in the proposed project work must be submitted ir.
<br />writing and approved by the STATE prior to the work proceeding.
<br />2.2 GRANTEE SHALL: Be responsible for the planning, supervision, and satisfactory completion of work specified it
<br />the GRANTEE's approved Project Proposal and for payment of all monies for work undertaken in accordance with
<br />the project.
<br />2.3 GRANTEE SHALL: Ensure that all work done complies with Section 106 of the Historical Preservation Act, the
<br />Endangered Species Act of 1966, as amended (16USC 470f et seq), the Endangered Species Act of 1973 (16USCA
<br />1531 et seq); (16USCA 1531 et seq); Minnesota Statutes, section 84A895, and Minnesota Rules, Part 6212.7 800
<br />to 6212.2300.
<br />2.4 GRANTEE SHALL: Provide the following:
<br />(1) Three Interim Reports and reimbursement requests due January 13, 200b, June 1 S, 2006, and January 1 S, 2007,
<br />approximately every six months, on the form provided by the STATE, which is on the DNR Forestry Website:
