City staff and provided to Contractor, upon request. All efforts will be made to <br />receive, process, and retain information electronically in an effort to save paper <br />resources and physical storage space at the City offices. <br />i. Invoices. Contractor payment for these services shall be as follows: <br />i. Billing Method. Written invoices shall be submitted on a monthly basis and all <br />non -disputed amounts are due and payable within 30 days of receipt by City. <br />Written invoices shall include a detailed accounting including the type of work <br />completed, the time associated with such tasks, who completed the work, and any <br />other pertinent information to ensure compliance with the claim requirements of <br />Minn. Stat. §§ 471.38; 471.391; and any other applicable law. Before paying a <br />claim that involved the use of materials or labor supplied by someone other than <br />Contractor, the City may require Contractor to supply proof of payment for such <br />materials or labor, including all relevant lien releases. City shall notify Contractor <br />in writing of any disputed items within 30 days from receipt of invoice. Undisputed <br />amounts due Contractor will be increased at the rate of 1.0% per month (or the <br />maximum rate of interest permitted by law, if less) for invoices 30 days past due. <br />No payroll or employment taxes of any kind shall be withheld or paid with respect to <br />payments to the Contractor. The payroll or employment taxes that are the subject of <br />this paragraph include, but are not limited to, FICA, FUTA, federal personal income <br />tax, state disability insurance tax, and state unemployment insurance tax. Contractor <br />is responsible for payment of any and all taxes related to compensation received under <br />this Agreement. <br />15. Records Availability and Retention. The books, records, documents, and accounting <br />procedures and practices of the Consultant Official relevant to this Agreement are subject <br />to examination by the City or its designated representative and either the Legislative <br />Auditor or State Auditor as appropriate. <br />16. Minnesota Law Governs. This Agreement shall be governed by and construed in <br />accordance with the substantive and procedural laws of the State of Minnesota, without <br />giving effect to the principles of conflict of laws. All proceedings related to this Agreement <br />shall venue in Ramsey County District Court. <br />17. Severability. The provisions of this Agreement shall be deemed severable. If any part of <br />this Agreement is rendered void, invalid or otherwise unenforceable, such rendering shall <br />not affect the validity and enforceability of the remainder of this Agreement. <br />18.
