ARTICLE IX. CHOICE OF LAW <br /> 9.1 The provisions of this Agreement shall be construed in accordance with the <br /> internal laws (without regard to the laws of conflicts) of the state of Minnesota. <br /> ARTICLE X. BENEFIT <br /> 10.1 This Agreement shall be binding upon and inure to the benefit of the successors of <br /> the Municipality and the Fire Department. <br /> ARTICLE XI. TERMINATION <br /> 11.1 This Agreement may be terminated by either party at any time with or without <br /> cause upon not less than one hundred eighty(180) days written notice delivered by mail or in <br /> person to the other party, in which event the Agreement shall terminate upon the effective date <br /> statedin any such notice. Notices delivered by mail shall be deemed to be received two (2) days <br /> after mailing. Such termination shall not be effective with respect to services rendered prior to <br /> such notice of termination. <br /> 11.2 This Agreement may be terminated by either party in the event of a material <br /> default of the obligations of the other party by giving not less than thirty(30) days advance <br /> written notice of termination specifying the reason for termination,provided that such notice will <br /> be of no effect and termination will not occur if the specified default is cured prior to the <br /> expiration of said thirty(30) day notice period. <br /> 11.3 Termination of this Agreement shall not relieve or release the Municipality from <br /> its obligations to make any payment which may be owing to the Fire Department as a Service <br /> Fee or an Administrative Fee under the terms of this Agreement or from any other liability which <br /> the Municipality may have to the Fire Department arising out of the terms of the Agreement <br /> including, but not limited to, those set forth in or contemplated by Article VII. <br /> ARTICLE XII. DATA PRACTICES <br /> 12.1 Data provided to the Fire Department under this Agreement shall be administered <br /> in accordance with Minnesota Statutes, Chapter 13, and all data on individuals shall be <br /> maintained in accordance with statutory guidelines. <br /> 12.2 All records, information, materials and other work products prepared and <br /> developed by the Fire Department in connection with the provision of services hereunder shall <br /> become the exclusive and confidential property of the Municipality. No such records shall be <br /> made available to any other individual or organization by the Fire Department without prior <br /> approval of the Municipality except as may be necessary to comply with an order of any judicial <br /> n:\users\caris\build.con Mounds View Building Inspector Contract- <br />
