ARTICLE X. BENEFIT <br /> 10.1 This Agreement shall be binding upon and inure to the benefit of the successors of <br /> the Municipality and the Fire Department. <br /> ARTICLE XI. TERMINATION <br /> 11.1 This Agreement may be terminated by either party at any time with or without cause <br /> upon not less than one hundred eighty (180) days advance written notice delivered by mail or in <br /> person to the other party,in which event the Agreement shall terminate upon the effective date stated <br /> in any such notice. Notices delivered by mail shall be deemed to be received two (2) days after <br /> mailing. Such termination shall not be effective with respect to services rendered prior to such <br /> notice of termination. <br /> 11.2 This Agreement may be terminated by either party in the event of a material default <br /> of the obligations of the other party by giving not less than thirty(30)days' advance written notice <br /> of termination specifying the reason for termination,provided that such notice will be of no effect <br /> and termination will not occur if the specified default is cured prior to the expiration of said thirty <br /> (30) day notice period. <br /> 11.3 Termination of this Agreement shall not relieve or release the Municipality from its <br /> obligations to make any payment which may be owing to the Fire Department as a Service Fee or <br /> an Administrative Fee on account of services previously performed by the Fire Department under <br /> the terms of this Agreement or from any other liability which the Municipality may have to the Fire <br /> Department arising out of the terms of the Agreement including,but not limited to, those set forth <br /> in or contemplated by Article VII. <br /> • <br /> ARTICLE XII. DATA PRACTICES <br /> 12.1 Data provided to the Fire Department under this Agreement shall be administered in <br /> accordance with Minnesota Statutes, Chapter 13, and all data on individuals shall be maintained in <br /> accordance with statutory guidelines. <br /> 12.2 All records,information,materials and other work products prepared and developed <br /> by the Fire Department in connection with the provision of services hereunder shall become the <br /> exclusive and confidential property of the Municipality. No such records shall be made available <br /> to any other individual or organization by the Fire Department without prior approval of the <br /> Municipality except as may be necessary to comply with an order of any judicial or administrative <br /> tribunal, agency or governmental body or as may be necessary for the Fire Department and its <br /> officers, employees,representatives or agents to perform the services contemplated hereunder. <br /> ARTICLE XIII. MISCELLANEOUS <br /> 13.1 This Agreement contains the entire understanding between the Municipality and the <br /> Fire Department concerning the subject matter hereof and supersedes all prior discussions, <br /> understandings or agreements whether written or oral; and the provisions applicable thereto cannot <br /> Doc# 1100691\7 6 <br />
