MAINTENANCE AGREEMENT <br /> THIS AGREEMENT is made. this 24th day of May , <br /> 199 3 , by and between the CITY OF MOUNDS VIEW, a Minnesota <br /> • municipal corporation ("City") , and SILVER LAKE WOODS CONDOMINIUM <br /> ASSOCIATION, INC. , a Minnesota corporation ("Association") . <br /> Recitals <br /> A. The Association is the owners association governing <br /> Silver Lake Woods Condominium, Condominium.No. 215, Ramsey County, <br /> a condominium created pursuant to Minnesota Statutes 515A (the <br /> "Condominium") , and the members. of the Association are the owners <br /> of all units in the Condominium. <br /> B. The Association is the owner of certain property located <br /> in Ramsey County, Minnesota, legally described as Outlot A, Silver <br /> Lake Woods (the "Property") . <br /> C. The Property contains a roadway (the "Road") providing <br /> the access to the units in the Condominium. <br /> D. The City has performed limited maintenance of the Road in <br /> the past, and the parties dispute whether the City is obligated to <br /> continue to perform that maintenance. <br /> E. The purpose of this Agreement is to resolve the disputes <br /> between the City and the Association, and to memorialize the <br /> respective rights and obligations of the City and the Association <br /> regarding the maintenance of the Property against Outlot A and <br /> against all units in the Condominium by filing this Agreement or a <br /> memorandum hereof in the office of the Ramsey County Registrar of <br /> Titles. <br /> F. This Agreement has been duly approved by the Board of <br /> Directors of the Association and by the required vote of those unit <br /> owners present at a duly constituted meeting of the Association, as <br /> evidenced by the Affidavit attached hereto. <br /> Agreement <br /> In consideration of the mutual covenants made in this <br /> agreement, the parties agree as follows: <br /> 1. City to Provide Limited Maintenance. The City agrees to <br /> perform the following maintenance services on the Road, at the <br /> City' s cost: snow-plowing, pothole patching, curb maintenance and <br /> seal coating. The City will perform the agreed maintenance at the <br /> same frequency and level of maintenance as is done for public <br /> streets in the City. <br />
