'7I <br /> r,, <br /> CATERING AND FOOD SERVICE AGREEMENT di°14 <br /> This Agreement ("Agreement"), dated , 1998 is made between the <br /> CITY OF MOUNDS VIEW, a municipal corporation under the laws of Minnesota("City") and <br /> Elegant Thymes Catering, a division of Royal Fare Food Emporium, L.L.C. (hereinafter"ETC") to <br /> provide catering and food services at the Mounds View Community Center Banquet Facility <br /> (Facility). <br /> RECITALS <br /> 1. The City is the owner of the Mounds View Community Center located at 5394 Edgewood <br /> Drive in the City of Mounds View. <br /> 2. ETC represents that they are a Minnesota corporation in good standing with the State of <br /> Minnesota and its agents, representatives, and employees have the necessary education, training, <br /> experience, certification, and licensing for purposes of providing catering services at the Facility. <br /> 3. The City desires to have and ETC agrees to provide the following services: <br /> a. Provide a selection of menus and associated prices for events to be held at the Mounds <br /> View Community Center that require food; <br /> b. Meet with Facility staff and/or prospective clients to set menus and fees for the clients' <br /> particular event; <br /> c. Provide adequate staffing to meet the demand of the particular event at each and every <br /> food function; <br /> d. Meet all health regulations,city ordinances,state law, federal law and any other <br /> regulations, rules or requirements concerning food service; and <br /> NOW THEREFORE, in consideration of the mutual covenants and promises contained in this <br /> agreement, the City and Images agree as follows: <br /> ARTICLE I: TERMS AND CONDITIONS OF AGREEMENT <br /> The initial term of this agreement will be two (2) years. commencing on January 1, 1999 and <br /> continuing through December 31, 2000. This agreement shall automatically renew annually <br /> thereafter under the same terms and conditions unless either party gives written notice of <br /> termination to the other party on or before September 30, 2000 or on or before September 30th in <br /> any subsequent year of any additional term of the Agreement; such termination may be made by <br /> either party without penalty or cause. <br /> ETC shall have the exclusive right to provide catering and food services at the Facility, except as <br /> follows: <br /> 1. If users are not using the food or catering services of ETC, such users can provide their <br /> own beverages and deserts, however, they will not be allowed to use any of the <br /> equipment or supplies of ETC without the written consent of ETC.
