_31.1r1-0 -1997 113:14 rl rHrii EnerTy M'-Iriit 1.13 -21 .0 :1 P.02/03 4 LETTER OF AUTHORIZATION • City of Mounds View NorAm Energy Management, Inc. 2466 Bronson Drive 105 South Fifth Street Suite 1200 Mounds View, Minnesota 561 12-1499 Minneapolis, Minnesota 55402 NorAm Energy Management Inc. agrees to undertake a "Comprehensive Energy and Operational Analysis"of the City of Mounds -View City Hall. This analysis will determine the energy consumption and Operational characteristics of the facility and will identify the energy conservation measures. procedures and other services that NorAm Energy Management, Inc. will provide to reduce City of Mounds View's energy and operational costs at the facilities. The City of Mounds View agrees to provide its complete cooperation in the conduct and completion of the analysis. In addition, the City of Mounds View intends to negotiate a contract with NorAm Energy Management, Inc. in good faith and will execute a contract if NorAm Energy Management, Inc. can provide the necessary documentation to meet the following objectives: • Provide a list of specific energy conservation measures, deferred maintenance needs and other facility improvements that NorAm Energy Management, Inc. proposes to implement; • Provide a description of the operating and maintenance procedures that NorAm Energy Management, Inc. believes can reduce the energy and operational costs in the facility; • Identify the energy and operational costs that will he saved and/or deferred by the proposed • improvements and procedures recommended in the report; • Provide a self-funding(stay within existing city budgets) cash flow analysis that identifies how the total cost for the program including improvements and ongoing procedures will be paid for by the energy and operational savings generated by the recommendations in the report. • Propose a Guaranteed Energy Savings Contract which meets the criteria set forth in Minnesota Statutes, Section 401-345. Suhd. 13. If NorAm Energy Management, Inc. is unable to deliver a report that meets the aforementioned objectives, or if the City Council decides not to proceed with any proposed project for whatever reason in the sole discretion of, the City of Mounds View will have the option to cancel this agreement with NorAm Energy Management, Inc. and will incur no cost or further obligation to NorAm Energy Management, Inc.
