adequate funding for agreed upon capital improvement projects. • <br /> 2. The City shall approve an annual budget including capital improvement projects <br /> by December 31st for the subsequent year. Included in the budget will be the <br /> prices for all categories of green fees, driving ranges, leagues and golf cart rentals. <br /> In no event shall these prices be reduced unless by agreement by both parties. <br /> 3. The City agrees to provide specialized equipment which it owns for special <br /> projects on the golf course provided that the Manager provides adequate advanced <br /> notice for scheduling of such equipment. <br /> 4. The City and the Manager agree to cooperate, whenever possible, in effectively <br /> operating and maintaining The Bridges and other city facilities and equipment. <br /> Whenever possible, golf course employees and other city employees will assist <br /> each other with no billing to the other department or program,provided that the <br /> overall time spent by golf course employees at other city facilities during a year is <br /> approximately equal to time other city employees spend assisting the golf course. <br /> 5. The City agrees to establish an executive committee to deal with issues arrise at <br /> The Bridges. The committee shall be comprised of the Mayor, one councilor <br /> appointed by the City Council,the City Administrator and the City Finance <br /> Director. <br /> Article VI. Default <br /> The Manager acknowledges that the terms, conditions and requirements set forth in this <br /> • <br /> agreement are material inducements to the City entering into this agreement. Should the <br /> Manager fail to perform any of the terms, conditions or requirements, the City shall give <br /> written notice thereof to the Manager specifying those acts or things which must occur in <br /> order to remedy said default. The City shall specify in said written notice the period of <br /> time, not less than 30 days, within which the Manager must remedy the default. Should <br /> the default remain upon the expiration of the time to remedy the default, the City may <br /> give written six(6)month notice to terminate the agreement. <br /> Should the City fail to perform any term, condition or requirement set forth in the <br /> agreement, the Manager shall give written notice thereof to the City specifying those acts <br /> or things which must occur in order to remedy said default. The Manager shall specify in <br /> the written notice the period of time not less than 30 days within which the City must <br /> remedy the default. Should the default remain upon expiration of the time to remedy the <br /> default, the Manager may give written six (6) month notice to terminate the agreement. <br /> Article VII. Other provisions <br /> 1. Any alteration, variation, modification or waiver of the provisions of this <br /> agreement shall be valid only after it has been reduced to writing and duly signed <br /> by both parties. <br /> 2. Notwithstanding any provision of this agreement to the contrary,the Manager <br /> shall not be relieved of liability to the City for damages sustained by the City by <br /> virtue of breach of this agreement by the Manager, and the City may withhold any <br /> payments or credits to the Manager for the purpose of set off until such time as the <br /> exact amount of damages due the city from the Manger is determined.
