b. The City agrees to save, defend and hold the <br /> County harmless from all claims, demands, costs or <br /> judgments caused by or arising out of the <br /> negligence of the City, its officers, agents or <br /> employees in the performance of this contract. <br /> 4 . Effective date of agreement: <br /> a. This agreement shall become effective the first <br /> day of June 1995 and shall remain in effect until <br /> such time as all of the County roadways herein <br /> listed shall be transferred to the City under the <br /> functional consolidation program ar he_careement <br /> is terminated in accordance with Section 5, below. <br /> 5. Termination: <br /> a. The County reserves the right to suspend or <br /> terminate this agreement if the City violates any <br /> of the terms or conditions of this agreement or <br /> does not fulfill in a timely and proper manner its <br /> obligations under this agreement as determined by <br /> the County. In the event the County exercises its <br /> right of suspension or termination under this <br /> Paragraph, it shall submit written notice to the <br /> City specifying the extent of such suspension or <br /> termination, the reasons, therefore, and the date <br /> upon which suspension or termination becomes <br /> effective. Upon receipt of such notice, the City <br /> shall take all actions necessary to discontinue <br /> further commitments of funds to the extent that <br /> they relate to the suspended or terminated <br /> portions of this agreement. <br />
