aptr.§01WW., <br />HISTORY/MANAGEMENT <br />On February 9, 1981, Electric Equipment Service Corporation was formed <br />by three stockholders: Dennis L. Sewill, Eugene L. Philipp, and Brian C. <br />Sjoberg. Each stockholder owns one-third of the company. <br />On October 1, 1985, ESC Environmental, Inc. was spun off as a wholly - <br />owned subsidiary. <br />On September 23, 1988, there were two corporate name changes <br />(Electric Equipment Service Corporation to Dynex Industries, Inc.; and <br />ESC Environmental, Inc. to Dynex Environmental, Inc.). <br />On December 31, 1994, Dynex Industries, Inc. and Dynex Environmental, <br />Inc. merged. An shares of Dynex Environmental, Inc. were dissolved. <br />Dynex Industries, Inc. assumed all assets, liabilities, and equity of Dynex <br />Environmental, Inc. <br />The ownership structure of the company today, in 1995, is the same as it <br />was at the company's inception in 1981, including the percentage of <br />ownership. <br />The company is in the business of (a) providing electrical services <br />including the repair, replacement, design, maintenance and testing of <br />transformers, relays, motors, and switchgear equipment; (b) providing <br />environmental services and receiving, transporting, disposing, and <br />recycling of industrial wastes; and the newest venture is (c) manufacturing <br />fluorescent lamp recycling machines.
