all members by mail 20 days in advance of the meeting. <br />The Board may act without a meetinc by a unanimous <br />writing in lieu of a meeting. <br />14. Operations Committee. The Operations Committee shall <br />consist of a firefighter/officer a000inted by the Fire <br />Chief of each Member Department. <br />15. Indemnification. Each non -Member Department or <br />organization using the facility shall fully indemnify the <br />Member Departments against all loss, damage liability <br />claims, suits, judgments, costs and expenses by reason of <br />loss of or damage to property and injury to or death of <br />persons caused by acts or omissions of the non-member <br />organization, its officers, agents or employees, arising <br />from or growing out of, directly or indirectly, wholly or <br />partly, its maintenance, operation or use of the facility. <br />16. Tetminat'_on of Agreement. any Member Department may <br />terminate its participation under this Agreement by <br />giving 60 days advance written notice of intent to <br />terminate, directed to the attention of the remaining <br />Members of the Chiefs' Board. The terminating Member <br />Department has no right of refund for its share of fees <br />or costs paid under this Agreement, and waives any and <br />all rights and interest in the training facility. <br />Furthermore, any city terminating its participation under <br />this Agreement is bound to pay its proportionate share of <br />the initial construction costs.
