5 <br />In the absence of both, the Second Vice-Chair shall serve as temporary Chair. The Chair <br />and temporary Chair shall have the same privileges. <br /> <br />Section 5.4. MEETING FORMAT: <br />a) At the hour appointed for a meeting of the MVCC Cable Committee, upon <br />reaching a quorum, the members shall be called to order by the Chair or in <br />his/her absence, by the acting Chair. The members shall do business following a <br />set agenda. <br />b) The Chair shall preserve order. The Chair or acting Chair shall be entitled to vote <br />like other members. <br />c) Every member, prior to his/her speaking, shall address the Chair and shall not <br />proceed until he/she has been recognized by the Chair. <br />d) If a member has a personal interest in a matter that comes before the MVCC <br />Cable Committee, the member shall not vote on said issue. <br />e) The Chair has the authority to set a time limit that a member or a person <br />addressing the committee Cable Committee may speak. <br />f) All committees shall be appointed by the Chair unless expressly ordered by the <br />MVCC Cable Committee. It shall be the duty of committees to act promptly and <br />faithfully in all matters referred to them and to make reports at a future set <br />time/date established by the MVCC Cable Committee. <br />g) Minutes of all meetings of the MVCC shall be recorded by the Cable Television <br />Coordinator Secretary, reviewed by the MVCC, adopted and kept at the city <br />offices. They shall be approved by the Cable Committee committee and shall <br />constitute an official record of the Cable Committee scommittee’s proceedings. <br />Section 65. ATTENDANCE: Committee members shall advise the Chair or the <br />Cable Television Coordinator of an anticipated absence from any regularly scheduled <br />MVCC Cable Committee meeting. Any member absent from three consecutive regularly <br />scheduled meetings or more than four regularly scheduled meetings per year without the <br />consent of the MVCC Cable Committee shall be deemed to have vacated the office and <br />such vacancy shall be filled by the procedure noted in Article III, Sections 2 and 4. <br />Section 76 CONFLICT OF INTEREST: When a question is put by the Chair, <br />every member present shall vote, unless for special reasons the member elects to abstain. <br />If a member has a personal interest in the matter, he or she shall state that such an interest <br />exists and shall neither deliberate nor vote on the matter. “Personal interest” means, but <br />is not confined to, a material financial interest of the committee member, a family <br />member or a close associate. The committee member may also be disqualified to vote on <br />a matter by a two-thirds (2/3) majority vote of the committee members in attendance.. <br />Section 87. APPEAL OF A CHAIR RULING: A member may appeal to the <br />MVCC Cable Committee for a ruling of the Chair.
