• <br /> c. Disposal of the building: <br /> i. In the event of dissolution, the building will be sold to the <br /> highest bidder, and the proceeds allocated on.a pro rata <br /> basis to the participating cities. <br /> A. Pro ration shall be that which was used in the last <br /> full calendar year for allocation of net operating <br /> costs among the participating cities. <br /> ii. Alternatively, one or more of the participating cities may <br /> choose to buy out the interests of the remaining cities and <br /> c erate a public-facies. <br /> A. In this event, the building will be appraised by a <br /> qualified appraiser who is acceptable to all remaining <br /> participants. <br /> B. The 'acquiring participant shall pay to the non- <br /> acquiring participant a pro rata share of the appraisal <br /> value of the building. <br /> iii. Pro ration shall be that which was used in the last full <br /> calendar year for allocation of net operating costs among - <br /> the participating cities. <br /> K. Indemnification: The participating cities understand that the governing board <br /> will require any organization, group, or individual that rents or otherwise uses <br /> all or part of the regional senior center to commit to hold harmless and <br /> indemnify the four cities and the joint powers organization against all loss, <br /> damage, liability, claim, suit, judgment, costs and expenses associated with <br /> their use of the senior center facility. <br /> L. Additional Parties to this Agreement: The participants to this agreement <br /> may, from time to time, propose the admissionof_additional cities to <br /> membership in this agreement under terms that are agreed to by unanimous <br /> consent of the remaining original members. <br /> 7 <br />
