A PROFESSIONAL SERVICES AGREEMENT BETWEEN <br /> NORTH METRO CROSSING COALITION AND CAPITAL PARTNERSHIPS INC. <br /> This Agreement is made between the NORTH METRO CROSSING COALITION <br /> ("the Coalition") , a coalition having offices at 8525 Edinbrook <br /> Crossing, Suite 1, Brooklyn Park, Minnesota 55443 and CAPITAL <br /> PARTNERSHIPS INC. ("CPI") , a California corporation having <br /> offices located at 2000 Piper Jaffray Tower, 222 South Ninth <br /> Street, Minneapolis, Minnesota 55402 and 2010 Corporate Ridge, <br /> Suite 700, McLean, Virginia 22102 (referred to hereinafter <br /> singularly as a "Party" or collectively as the "Parties") . <br /> WITNESSETH: <br /> WHEREAS, the Coalition is an organization promoting better trans- <br /> portation infrastructure in the north metro area of the Twin <br /> Cities metropolitan region; <br /> WHEREAS, the Coalition is seeking about $150 million in federal <br /> funding for the unfunded portion the 610/10 project; <br /> WHEREAS, CPI is a U.S. transportation consulting firm specializ- <br /> ing in the following areas: <br /> . Advising clients in need of assistance with federal and state <br /> government relations <br /> • Strategic planning for capital programs and projects <br /> ▪ Developing public/private partnerships to implement specific <br /> capital projects <br /> . Assisting policy officials and government staff in management <br /> planning for capital programs and projects <br /> • Planning and environmental assessment for transportation and <br /> urban infrastructure projects <br /> • Planning for and assisting in the execution of community <br /> outreach and citizen participation for capital projects . <br /> WHEREAS, the Coalition believes that CPI' s government relations <br /> expertise and experience provide the capability to assist the <br /> Coalition in achieving its 610/10 project funding goals. <br /> NOW, THEREFORE, in consideration of the mutually binding <br /> covenants and conditions set forth herein, the Parties hereto <br /> agree as follows: <br />
