Agreement Between NMCC and CPI Page 4 <br /> 5. FEES AND COMPENSATION. CPI fees and compensation for its <br /> consulting services shall be structured as follows : <br /> a. Fees . CPI shall be compensated at a rate of $10, 000 per <br /> month (running from mid-month to mid-month) . <br /> b. Expenses. CPI shall be reimbursed for up to $1,500 per <br /> month in travel and subsistence expenses for trips <br /> between Minneapolis and Washington, D.C. Any expenses <br /> expected to exceed the $1,500 per month level must be <br /> approved in writing in advance of their occurrence by the <br /> Coalition' s President. <br /> 6. PAYMENT SCHEDULE. <br /> a. Fees. CPI shall receive its compensation for fees <br /> according to the following payment schedule: <br /> - April 30, 1991 : $30, 000 <br /> - July 31, 1991 : $30, 000 <br /> - October 31, 1991 : $20, 000 <br /> b. Expenses. CPI shall submit invoices with supporting doc- <br /> umentation for authorized expenses at the end of each <br /> month to the Coalition for approval and payment. <br /> Approved amounts will be due and payable within 30 days <br /> of the date of the invoice. <br /> 7 . TERMINATION. This Agreement shall terminate upon the <br /> earliest of the following events: <br /> a. Expiration of a phase as described in paragraph 4 of this <br /> Agreement; or <br /> b. Satisfactory fulfillment of all obligations contained in <br /> this Agreement. <br /> 8 . SUCCESSORS AND ASSIGNS: This Agreement shall inure to the <br /> benefit of and be binding upon the Parties hereto, their <br /> successors, trustees, assigns, heirs, administrators, and <br /> legal representatives; provided however that the interest of <br /> any Party hereto this Agreement is not assignable without <br /> the express written consent of all other Parties hereto. <br />
