MEETINGS: The planning services outlined in this Agreement shall inclu a eight meetings with the Village, three (3) of which shall be public hearings. 41, 41 44 4 1\\• GENERAL. PROVISIONS: In the execution of the work covered by this Agreement, the Village shall furnish to the CONSULTANT all available information in the possession of the Village, its agents and employees, relative to the subject matter of this Agreement, and the Village shall provide the CONSULTANT with access to all existing records having any bearing on the subject matter of this Agreement. The work covered by this Agreement shall be performed diligently, with periodic reports to the Village regarding progress made on the various phases of the work and with periodic conferences with the Village regarding the details of the work covered by this Agreement. The signing of this Agreement will automatically authorize the CONSULTANT to proceed with the execution of all phases of the work described herein, without further instructions. IMPLEMENTATION OF AGREEMENT: The Village and the CONSULTANT each bind themselves, their partners, successors, executors, administrators, and assigns to the other parties to this Agreement, and neither the Village nor the CONSULTANT shall assign, sublet or transfer their interest in this Agreement without the written consent of the others. The Vi lage shall furnish to the CONSULTANT certified copies of all resolutions, ordinances, maps and other documents pertaining to this Agreement. PAYMENT: All costs incurred will be payable to the CONSULTANT within thirty (30) days of receipt of an invoice slowing the work completed and the cost of said work. To each Invoice not paid within thirty' (30) days will be added a service charge of one (1) percent per month for each month delinquent. TERMINATION: This Agreement may be terminated upon thirty (30) days written notice by either party. In the event of termination, the CLIENT will pay the CONSULTANT for work completed on a time plus materials basis.
