And the bylaws allow it? <br />MR. <br />RIGGS: <br />The bylaws do allow it, yes. <br />THE <br />COURT: <br />And is there anything in statute <br />that prohibits the <br />bylaws? <br />MR. <br />RIGGS: <br />Not in statute, your Honor, no. <br />THE <br />COURT: <br />Okay. <br />MR. <br />RIGGS: <br />This is merely a directive from <br />the <br />Attorney <br />General <br />that has said that's the way it <br />should be. <br />THE <br />COURT: <br />Okay. <br />MR. <br />RIGGS: <br />And I certainly can provide that <br />to <br />you at some <br />time <br />if you need that, but -- <br />THE <br />COURT: <br />You will need that because if <br />you're going <br />to <br />make that argument to me, which <br />appears <br />to directly <br />contradict the statute, I'm <br />going to <br />want to <br />see it. <br />MR. <br />RIGGS: <br />Okay. <br />THE <br />COURT: <br />If I had the rules strictly on the <br />statute <br />and the <br />bylaws, it's pretty clear that as <br />long as <br />there's <br />a quorum, they can do business. <br />And <br />they can <br />do anything the statute authorizes them <br />to <br />do. And <br />it's as <br />plain as the nose on your face. <br />So <br />
