MAR 16 '95 11 43 HOLMES & GRAVEN P.3 <br /> • <br /> GROUND LEASE AGREEMENT <br /> THIS GROUND LEASE AGREEMENT, made this day of <br /> by and between the City of Mounds View ("City") and the Mounds View Athl. ' <br /> Association ("Association"). <br /> RECITALS <br /> 1. The City owns certain property on which the Association desires to <br /> construct a building for storage of baseball equipment, uniforms, and relafc. . <br /> supplies and material, <br /> 2. The Association is a nonprofit corporation and is organized for the sole <br /> purpose to offer youth baseball programs for residents of the City. <br /> 3. It is in the best interests of the residents of the City to allow the <br /> Association to construct a building on park property so that it can continue to <br /> provide a quality baseball program for the residents. <br /> NOW, THEREFORE, in consideration of the mutual covenants and agreements <br /> set forth in this agreement, the City and the Association agree as follows: <br /> Section 1. Demise of Premises. Subject to the terms, conditions, covenants, <br /> and undertakings set forth in this agreement, the City leases the property described <br /> • <br /> in Exhibit A to the Association. <br /> Section 2. Term of the Lease. The term of this lease commences as of the date <br /> set forth above and shall end on . <br /> Section 3. Rent. The rent for the entire period of this lease shall be $1.00, <br /> payable upon execution of the lease. <br /> Section 4. Use of the Property. The Association will use the property solely <br /> to construct, operate, use, maintain and repair a building to house baseball <br /> equipment, baseball supplies, and related materials. No other use of the property <br /> is permitted. The building to be constructed on the property shall not be used for <br /> any commercial, business, or other revenue-generating purpose. <br /> Section 5. Condition of the Property. It is understood that the property <br /> being leased to the Association from the City is "as is". The City makes no <br /> representation or warranties that the property is suitable for the uses which the <br /> Association intends to put it. The Association waives all statutory, common law or <br /> any other implied warranty of habitability or use and agrees that the City shall not <br /> be liable to repair, replace, or pay for any damage to the property or any <br /> improvements located on the property, whether such damage has occurred prior to <br /> or during the term of this lease. <br /> Section 6. Maintenance of the Building. The Association will be responsible <br /> . for all ongoing maintenance, repair, and reconstruction of the building to be <br /> constructed on the property. <br /> Section 7. Building Design. Prior to obtaining a building permit for the <br /> construction of the building, the Association will submit the building plan to the City <br /> JJT85574 <br /> MU125-13 1 <br />
