4.3 Contractee's Agreements - Contractee does hereby specifically agree that Contractor will —not be held liable for any of the events described in Section 4.2 and agrees to hold Contractor harmless should any of those events occur and agree l� that liability for such events, if any, shall rest with the Contractee. ARTICLE 5 MISCELLANEOUS 5.1 Term - The term of this agreement is one (1) year and shall commence on April 1,1983 and terminate on November I,1983; this agreement may only be terminated as follows, and is otherwise non -cancellable: a. Contractee may terminate this agreement with the Contractor, after by giving the Contractor a thirty (30) days date notice. b. Contractor may terminate this agreement upon Contractee's failure to pay invoices and accrued interest on a timely basis, provided that Contractor gives Contractee notice of its intention to terminate this agreement due to said non-payment, and gives Contractee ten (10) days from the date notice is received in which to satisfy all outstanding indebtedness owed to Contractor by Contractee. 5.2 Contractor's Performance - In the event Contractor is prevented from ful- filling its contractual obligations under this agreement in the time deadlines herein specified due to natural disasters or abnormally severe weather conditions, Contractor shall be held harmless for such breach, provided that Contractor performs the requir- ed service as soon as practically possible when conditions permit. 5.3 Severable - In the event any portion of this agreement shall be held to be invalid, the same shall not affect in any respect whatsoever the validity of the remainder of this agreement. 5.4 Captions - Article, paragraph or section titles or, other headings contained in this agreement are convenience only, and shall not be deemed a part of the context of this agreement. 5.5 Waiver - Any waiver by an party of a breach of any provision of this agree- ment shall not operate as, or be construed to be, a waiver of any subsequent breach hereof. 5.6 Situs - This agreement was entered into in the State of Minnesota, and shall be controTled by the laws of that state. 5.7 Notice - Any notice required or permitted to be given under this agree- ment shall be sufficient if in writing, and if sent by registered or certified mail to the other party at the address set forth below: CONTRACTOR: CONTRACTEE: City of Mounds View Firm Name 2401 Hinhwa{ 10 Mounds View, Minnesota 55112 Address Telephone Number
