Honorable Mayor and City Council <br />Page 2 <br />December 2, 1982 <br />This agreement may be terminated by either party upon 30 days written <br />notice in the event of substantial failure by the other party to perform <br />in accordance with the terms hereof through no faulty of the terminating <br />party. <br />This agreement represents the entire understanding between myself and <br />the City of Mounds View with respect to the professional services to be <br />rendered and may only be modified in writing signed by both parties. <br />If this agreement satisfactorily sets forth your understanding of the <br />arrangement between us, then please sign the enclosed copy of this letter <br />in the space provided and return one copy to me. <br />Very truly yours, <br />John C.
