4. Buyer must carry Dram Shop Insurance, as required by <br />the City of Mounds View and State of Minnesota. City of Mounds <br />View requires a minimum of $50,000.00 and $100,000.00. Proof <br />of such coverage shall be given to Seller. In the event the <br />City of Mounds View or the State of Minnesota shall require <br />additional coverage, the Buyer will obtain such additional coverage <br />and furnish Seller proof thereof. <br />S. Seller agrees to furnish Uuycr wish a list of all <br />creditors pursuant to the Bulk Sales Transfer Provisions of the <br />Minnesota Commercial Code. In lieu of sending notices to any <br />creditor, Seller covenants and agrees to pay all creditors. Based <br />on this warranty and further based on the additional warranty <br />to the Buyer from the Seller that such payment will extinguish <br />that creditor's right to claim against the Buyer's premises and <br />goods based on violation of said Bulk Sales Provision, the Buyer I <br />hereby _!Ves the requirements of the Bulk Sales Provisions <br />with regard to each of the creditors who will be paid in accordance <br />with this subparagraph. <br />6. This Agreement supersedes all previous acreements. <br />'I 'he Sealer has an ongoing employment/service contract <br />with Thom Sweet (DBA ICE Agency) for furnishing band hiring and <br />supervising services. Buyer agrees to continue this contract <br />for a minimum of six months, at which time Seller will pay any <br />applicable termination fee if Buyer chooses to terminate <br />Mr. Sweet's services. <br />B. At closing, the Buyer agrees to purchase inventory, <br />including all building maintenance supplies, bar and kitchen ' <br />supplies, food, beer and liquor.
