Seller <br />and James A. Loosen shall retain all rights in said lawsuit and <br />r.o interest therein is being transferred pursuant to this <br />Agreement. <br />21. Buyer acknowledges that a portion of the present parking <br />space utilized by the business is owned by Clark oil and is used <br />by the business pursuant to a tenancy at will and that Seller <br />does warrant the continued use of such property, but does not <br />agree to hold Buyer harmless from any claims for delinquent rent <br />of such premises through the date of closing. <br />22. The parties hereto ackrowl�dge that the land and <br />buildings wherein the business being sold is conducted are leased <br />from James A. Loosen and Arlene V. Loosen, husband and wife, <br />' <br />by the Seller pursuant to a Lease Agreement dated January 3, <br />1983 The Seller agrees to terminate said Lease Agreement upon <br />clos.ng of the transaction herein contemplated and this Agreement <br />shall be conditioned on Buyer entering into a new Lease Agreement <br />wit!, James A. Loosen and Arlene V. Loosen on terms and conditions <br />satisfactory to Buyer. <br />23. Buyer shall not sell, transfer, assign and/or convey <br />title, or any interest therein to the personal property being <br />sold hereunder, either directly or indirectly, by assignment, <br />contract for deed or in any other manner, without first obtaining <br />Sellei'b prior written consent thereto, which consent shall not <br />be unreasonably withheld.
