Legal Qualifications <br />The legal qualifications standard relates primarily to <br />an analysis of whether the entities involved in the transac- <br />tion are duly organized and authorized to own the cable <br />system and franchise. Certain entities, such as certain <br />television broadcasting stations, national television net- <br />works, and certain telephone companies, are prohibited by <br />Federal law from owning, operating, or controlling a cable <br />television system. We have reviewed the Federal cross - <br />ownership prohibitions and have determined them to be in- <br />applicable, although these restrictions are primarily a <br />concern of the companies involved. Moreover, we have been <br />provided with the necessary documentation which shows that <br />each of the entities is duly organized and authorized to own <br />a cable system and franchise as described above. <br />The character qualifications of North Central, as well <br />as the principals of the organization, are satisfactory. <br />Since North Central is a newly created entity, it is appro- <br />priate to review the character qualifications of its prin- <br />cipals. North Central has provided information showing that <br />neither it nor any principal has ever been convicted in a <br />criminal proceeding of any crimes against character. <br />Althoueh Continental Cablevision, Inc., the parent company <br />of Continental -MN, was previously involved in proceedings <br />- 8 - <br />
