D. Other Relevant Factors <br />Other appropriate factors which have been reviewed for <br />the purpose of determining whether to approve or deny this <br />transaction are contained in the Municipal Request For In- <br />formation. The most significant factor to be considered is <br />whether the cable franchise wilY be transferred intact and <br />whether North Central will agree to comply with all existing <br />franchise requirements. <br />The information which we have reviewed indicates that <br />North Central is not currently requesting any franchise <br />modifications as a condition of the transfer. Moreover, <br />under the terms of the original purchase agreement of the <br />consortium, North Central is prohibited from requesting any <br />franchise modifications as part of this transfer. In other <br />words, all systems are to be sold and transferred "as -is". <br />Consequently, North Central will agree to receive transfer <br />of the franchise intact. <br />With respect to the franchise requirements regarding the <br />existing service area and line extensions, North Central has <br />indicated that it will comply with the existing franchise <br />requirements and obligations. The construction practices of_ <br />North Central regarding aerial and underground installation <br />and standards will also conform to existing franchise re- <br />quirements, including the burial of snow -drops at no charge <br />to the subscriber in the spring.
