A non-profit corporation's Board of Directors will he designed to represent community characteristics, thereby drawing diverse segments of the community into access production. 4. A non-profit corporation will be structured so that all types of users are represented and will have some control ever Its operations through their access to the Board. The Commission will, therefor, effect a change in the current NSAC articles of incorporation to broaden representation on the Board, and will effect an orderly transition from the present management structure to the new corporation. Following iz an outline of NSAC's new structure, scope of activities, measures for its evaluation, and plan for its support. Corporation Structure A. Board of Directors (, NSAC ill be governed by a Board of Pirectors composed of the following: 1. one rr•presentative appointed by each of the ten member •;ities of the North Suburban Commission that wishes to make such appcintment, 2, one representative of the Joint School District Cablo Council, 3. one representative of the individual members of the corporation as elected by those members. and 4. up to three representatives of any group or institution other than the Joint School District Cable Commission which main office or headquarters is located within the ten -city area anu which group or institution has produced a minimum of 5 hours of programming per week for cablecast on the North Suburban system for a time period of at least six months prior to the corporation's annual meeting. Such representatives will be elected by eligible groups or institutions. Board members will serve three year terms, except that the initial members will serve one, two, or three year terms. In matters of voting, city representatives will cast votes in proportion to their size. with the least populous city receiving one vote. All other Board members will receive one vote. The makeup of the Board will be reconsidered by the Commission three years following the date of incorporation. At that time, special consideration will be given• to the need for the ten member cities to appoint a member to the Board.
