A non-profit corporation's Board of Directors will he <br />designed to represent community characteristics, thereby drawing <br />diverse segments of the community into access production. <br />4. A non-profit corporation is more likely to attract <br />volunteer help than a business entity. <br />5. A non-profit corporation will be structured so that <br />all types of users are represented and will have some control ever <br />Its operations through their access to the Board. <br />The Commission will, therefor, effect a change in the current NSAC <br />articles of incorporation to broaden representation on the Board, <br />and will effect an orderly transition from the present management <br />structure to the new corporation. <br />Following iz an outline of NSAC's new structure, scope of <br />activities, measures for its evaluation, and plan for its support. <br />Corporation Structure <br />A. Board of Directors <br />(, NSAC ill be governed by a Board of Pirectors composed of the <br />following: <br />1. one rr•presentative appointed by each of the ten member <br />•;ities of the North Suburban Commission that wishes to make such <br />appcintment, <br />2, one representative of the Joint School District Cablo <br />Council, <br />3. one representative of the individual members of the <br />corporation as elected by those members. and <br />4. up to three representatives of any group or institution <br />other than the Joint School District Cable Commission which main <br />office or headquarters is located within the ten -city area anu <br />which group or institution has produced a minimum of 5 hours of <br />programming per week for cablecast on the North Suburban system for <br />a time period of at least six months prior to the corporation's <br />annual meeting. Such representatives will be elected by eligible <br />groups or institutions. <br />Board members will serve three year terms, except that the <br />initial members will serve one, two, or three year terms. <br />In matters of voting, city representatives will cast votes in <br />proportion to their size. with the least populous city receiving <br />one vote. All other Board members will receive one vote. <br />The makeup of the Board will be reconsidered by the Commission <br />three years following the date of incorporation. At that time, <br />special consideration will be given• to the need for the ten member <br />cities to appoint a member to the Board. <br />
