12.6 GENERAL ASSISTANCE - llaSys will provide general assistance to the <br />customer on any questions or technical information in relationship to <br />the products covered by this agreement, including potential impacts <br />of upgrades, hardware changes, Texas Instruments operating systems, <br />or communication changes. Ha Sys will answer any questions related <br />to backup system performance and will make recommendation on possible <br />changes. <br />12.7 RESPONSE TIME - Ma Sys will provide the following response times <br />according to the systems support issue to be resolved, specifically. - <br />System Failure - 6-hour response time (Non -Hardware) <br />System Problem - 6-hour response time; if not immediately, <br />resolvable, then contact needs to be made <br />with Texas Instruments. The customer wiil <br />be notified of the response time schedule. <br />General System Questions for Upgrades - Response will be made <br />within five (5) days. <br />13. SYSTEM MODIFICATIONS <br />13.1 Custome- may make additions or enhancements to the system at the <br />then -current list prices available from Masys Corporation. <br />13.2 MaSys Corporation will provide prices for system upgrades to be <br />inclusive of all rasks necessary for system performance including <br />hardwars, operating system software changes, communications, <br />operator instructions, system coordination and installation, and <br />overall system test. <br />13.3 Texas Instrument Cperacing System Upgrades - liaSys will provide <br />a quotation for any operating system change (sysgen) required which <br />occur after initial system install. XaSys will include any updates <br />necessary to operate ENFORS. <br />14. GENERAL <br />(a) This Agreement will be governed by the U.C.C. as enacted and enforced <br />in the State of Minnesote and constitutes the complete and exclusive <br />statement of agreement superseding, all oral or written communications <br />and any prior agreements between the parties relating to its subjecc <br />matter. <br />(b) The Customer acknowledges that he has read this Agreement, understands <br />it, and agrees to all terms and conditions stated herein. <br />(c) Customer shall not dispose o or assign its interest in this Agreement <br />without the prior written consent of YAsyS. <br />PAGE 6 of 6 <br />
