74 <br />4.2 Except as provided in paragraph 2. 1, members of the Operations <br />Committee will be appointed by resolution of the cities that are Parties. <br />4.3 Members of the Operations Committee will serve until their successors are <br />appointed and qualified by the city appointing them. <br />4.4 Members of the Operations Committee may not vote by proxy. <br />4.5 A member of the Operations Committee may be denied the right to vote if <br />the Operations Committee determines by a 2/3 vote of the other members that the Party <br />represented by that member is not in compliance with this Agreement. <br />V. MEETING <br />5.1 The members of the Operations Committee will conduct an organizational <br />meeting no later than 30 days after this Agreement is approved and executed by the initial <br />Parties. At the organizational meeting or as soon thereafter as is reasonably possible, the <br />members will elect officers and adopt such by-laws and other procedures governing the <br />conduct of its meetings as it deems appropriate. <br />5.2 The Operations Committee will conduct an annual meeting at the date and <br />place specified in its by-laws to elect officers and to undertake such other business as <br />may properly come before it. The Operations Committee may provide for a schedule of <br />regular meetings. <br />5.3 A special meeting of the Operations Committee may be called by the <br />president or by the secretary -treasurer upon written request of such number of members <br />of the Operations Committee as is specified in the by-laws. Notice of a special meeting <br />must be mailed to members no fewer than five days prior to the special meeting. Business <br />at a special meeting is limited to matters contained in the notice of the special meeting. <br />
