75 <br />VI. OFFICERS <br />6.1 The officers of the Operations Committee will be a president and a <br />secretary/treasurer elected for a term of one year by the members at the organizational <br />meeting and at the annual meeting. The Operations Committee may designate members <br />to act as Officers in the absence of any officer. <br />6.2 The president will preside at meetings of the Operations Committee. The <br />secretary -treasurer is responsible for records of proceedings of the Operations <br />Committee, the funds and financial records of the Operations Committee and such other <br />matters as may be allocated to the secretary -treasurer by the Operations Committee. <br />6.3 The president and the secretary -treasurer must sign vouchers or orders <br />disbursing funds of the Operations Committee. Disbursement will be made in the method <br />prescribed by law for statutory cities. <br />6.4 The Board may in its by-laws provide for and define the duties of such <br />other officers as it determines necessary from time to time. <br />VIL POWERS AND DUTIES <br />7.1 The Operations Committee may take such actions as it deems necessary <br />and convenient to accomplish the general purposes of this Agreement. <br />7.2 The Operations Committee may: <br />7.2.1 Enter into contracts to carry out its powers and duties; <br />7.2.2 Provide for the prosecution, defense or other participation III the <br />proceedings at law or in equity in which it may have an interest; <br />7.2.3 Employ such persons as it deems necessary on a part-time, full-time <br />or consultant basis; <br />
