51 <br /> • "Business Subsidy Agreement" means the Business Subsidy Agreement in the form attached hereto as <br /> Exhibit D to the executed and delivered by the HRA and Redeveloper in accordance with Section 9.6 <br /> hereof. <br /> "Certificate of Completion".means a certification in the form attached as Exhibit A, to be provided.to <br /> Redeveloper pursuant to this Agreement. <br /> "City" means the City of St. Anthony, Minnesota, a Minnesota municipal corporation. <br /> "Closing" means the date upon which the HRA conveys to the Redeveloper any of the Redeveloper <br /> Property acquired by the HRA, which date shall be whenever the HRA takes title to any portion of the <br /> Redeveloper Property as provided in Section 3.3 of this Agreement. <br /> "Event of Default" means as set forth in Section 9.01 hereof. <br /> "HRA" means the Housing and Redevelopment Authority of St. Anthony, Minnesota, a public body <br /> corporate and politic under the laws of the State of Minnesota. <br /> "Improvements" means the buildings or other improvements located on the Redevelopment Property. <br /> "Lease" means the lease between Ste. Marie Company, as successor in interest to Apache Plaza Ltd., <br /> • as lessor, and G.R. Herberger's, Inc., as lessee. <br /> "Mortgage" means any mortgage made by Redeveloper which covers, in whole or in part, the <br /> Redevelopment Property. <br /> "Mortgagee" means the owner or holder of a Mortgage. <br /> "Note" means the Limited Revenue Taxable Tax Increment Note in substantially the form of Exhibit C <br /> hereto to be issued by the HRA pursuant to the Note Resolution and to be delivered by the HRA to the <br /> Redeveloper as provided in Section 6.2 hereof. <br /> "Note.Resolution".means the resolution or.resolutions adopted by the Board of Commissioners of the <br /> HRA authorizing the issuance and setting forth the terms and security for the Note. <br /> "Project" means the acquisition and clearing of the Redevelopment Property and the renovation and <br /> rehabilitation of the existing shopping center building located thereon, and the construction of site <br /> improvements and other improvements of a public nature, all as further described in the Redeveloper's <br /> Application for Preliminary Development Plan and Final Development Plan for the Redevelopment <br /> Property approved by the City Council of the City on August 22, 2000, and on file with the City. <br /> -3- <br />
