(b) in the case of the HRA, . addressed or delivered <br /> personally to the HRA' s Executive Director, 3301 Silver Lake <br /> Road, St . Anthony, Minnesota 55418, or at such other address <br /> with respect to either such party as that party may, from time <br /> to time, designate in writing and forward to the other as <br /> provided in this Section. <br /> Section 10 . 7 . Counterparts . This Agreement is <br /> executed in any number of counterparts, each of which shall <br /> constitute one and the same instrument . <br /> Section 10 . 8 . Termination. This Agreement may be <br /> terminated by either Redeveloper or the HRA upon the occurrence <br /> of any of the following : <br /> (a) If Redeveloper gives the HRA Redeveloper ' s notice <br /> of termination on or before August 19, 1988, - which date shall <br /> be extended to September 19 , 1988 if Redeveloper pays to the <br /> HRA an additional $20, 000 . 00 of Earnest Money prior to <br /> August 19 , 1988. (to increase the total Earnest Money to <br /> $40, 000 . 00) . <br /> (b) If Redeveloper does not submit to the HRA proof <br /> that the Redeveloper has completed the Refunding, which is <br /> acceptable to the HRA, by a date 120 days after the date hereof . <br /> • (c) If the .HRA does not acquire title to the <br /> Redevelopment Property pursuant to the Time Table. <br /> (d) If the HRA does not convey title and possession <br /> of the Redevelopment Property to the Redeveloper pursuant to <br /> the Time Table. <br /> (e) If .the City does not approve a Planned Unit <br /> Development Detailed Plan (as defined in the City' s PUD <br /> ordinances) which will permit construction and operation of the <br /> Project substantially as described in the Proposal, or as <br /> otherwise agreed upon by Redeveloper and the HRA, with the time <br /> period required under the Time Table. <br /> (f) If the HRA gives Redeveloper written notice on or <br /> before August 19 , 1988 that the appraised value of all or a <br /> portion of the Redevelopment Property is unacceptable to the <br /> HRA. <br /> Termination of this Agreement due to the occurrence of <br /> any of the foregoing must be accomplished by written, <br /> notification to the other party of the intention to terminate, <br /> and, in all cases other than termination by Redeveloper under <br /> item (a) of this Section, the party giving such notice shall. <br /> -26- <br />
