ADDENDUM <br /> TO <br /> STANDARD FORM OF AGREEMENT BETWEEN <br /> OWNER AND ARCHITECT <br /> This Addendum is attached to and made a part of that certain Standard Form of <br /> Agreement Between Owner and Architect, dated as of August 24 , 1993 <br /> ("Agreement"), by and between the HOUSING AND REDEVELOPMENT <br /> AUTHORITY OF ST. ANTHONY, MINNESOTA, a public body corporate and politic <br /> established pursuant to Minnesota Statutes, Sections 462.411-462.711 ("Owner"). and <br /> THE ALLIANCE, INC. a Minnesota corporation ("Architect"). If any provisions of <br /> this Addendum are inconsistent with any provisions of the printed portion of the <br /> Agreement, the provisions of this Addendum shall control. The term "Agreement" <br /> means the printed portions thereof together with this Addendum. All terms <br /> defined in the printed portion of the Agreement will have the same meanings <br /> when used in this Addendum. <br /> 1. Schedule. <br /> The Architect's services will be performed according to the Preliminary Project <br /> Schedule attached to the Agreement. <br /> 2. Standards for Services. <br /> The services of the Architect shall be performed according to the following <br /> standards: <br /> (a) Professional Standards. Architect shall perform the services in <br /> accordance with prevailing professional standards and ethics, and in <br /> compliance with all applicable federal, state and local laws and <br /> regulations. If Architect believes that compliance with Owner's <br /> directions could violate applicable professional standards or ethics, or <br /> applicable governmental laws or regulations, then Architect shall so <br /> notify Owner in writing. Owner and Architect shall immediately enter <br /> into discussions to arrive at a mutually satisfactory solution. Failing a <br /> solution within 10 business days after Architect's notice to Owner, <br /> either party may terminate this Agreement in accordance with <br /> paragraph 14 of this Addendum. <br /> (bJ Standard of Care. The services will be performed on behalf of and <br /> solely for the exclusive use of Owner and for no others. The services <br /> performed by Architect shall be conducted in a manner consistent with <br /> that level of care and skill ordinarily exercised by members of the <br /> architectural profession in the same locale acting under similar <br />
