circumstances and conditions. Architect will perform services with <br /> due regard for health and safety and shall take all appropriate and <br /> necessary precautions to avoid injury to persons and damage to <br /> property or natural resources under this Agreement. <br /> 3. Comyensation to the Architect for This Project. <br /> (a) Once each month the Owner shall pay Architect for professional <br /> services performed under this Agreement in proportion to services <br /> performed during the period. Architect shall furnish to the Owner <br /> payroll data including name of individual, job title, hours worked, and <br /> hourly rate of pay broken down for each project. <br /> (b) The Owner shall compensate Architect in accordance with provisions <br /> of each invoice subject to all payment provisions referred to in this <br /> Section. No other compensation shall be payable to Architect unless <br /> authorized in writing by the Owner. Final payment to the Architect <br /> shall be made only after final acceptance of the work by the Owner. <br /> (c) Invoices shall be submitted once a month or upon completion of the <br /> services whichever occurs first. Invoices shall be due and payable <br /> within 30 days after receipt. Invoices shall provide the following <br /> information: (i) total number of hours worked in performing the <br /> services; (ii) a listing of authorized reimbursable expenses itemized by <br /> type of charge; and (iii) any other costs authorized by the Owner. All <br /> payments shall be remitted to the address indicated in the invoice. <br /> 4. Architect's Indemnification of the Owner. <br /> Architect shall indemnify and hold harmless the Owner, its Executive Director and <br /> Commissioners, and the City of St. Anthony and its Mayor, Councilmembers, staff, <br /> employees and agents, from and against any and all losses, damages, claims, liability <br /> and costs and expenses incidental thereto (including costs of defense, settlement and <br /> reasonable attorney's fees) which any or all of them may hereafter incur, be <br /> responsible for, or pay out as a result of bodily injuries or death to any person, or <br /> damage (including loss of use) to any property (public or private) which arise out of <br /> or are caused by any negligent acts, negligent omissions, breach of representations or <br /> willful misconduct of Architect, its agents, or employees. <br /> 5. Owner's Indemnification of Architect. <br /> The Owner shall indemnify and hold harmless Architect, and its shareholders, <br /> directors, officers, employees and agents from and against any and all losses, <br /> -2- <br />
