• hereto as Exhibit E. ) Anything to the contrary herein or in the <br /> Redevelopment Contract contained notwithstanding, no reverter , <br /> re-entry, or reconveyance to or by the Agency shall deprive <br /> Redeveloper of its right and option to acquire the Subject <br /> Premises as part of its Phase II development in a timely and <br /> useable fashion. <br /> With respect to Walker ' s obtaining site control of the <br /> Subject Premises, it is agreed that the following shall occur : <br /> a . The Agency hereby assigns all of its <br /> right , title and interest in and to the <br /> Purchase Agreement to Walker subject to the <br /> provisions of this Agreement. <br /> • b. In the event that the condition precedent <br /> set forth in Section 2 . 1 , above , is not <br /> satisfied prior to the Closing Date, Walker <br /> shall assign on or before the Closing Date <br /> all of its right , title and interest in and <br /> to the Purchase Agreement to the Agency <br /> whereupon this Agreement shall be null and <br /> void. In addition to the foregoing , in the <br /> event that the number of residential units <br /> approved by HUD for Building B is less than <br /> 45 , then this Agreement at the option of any <br /> of the parties hereto , shall be null and <br /> void. <br /> c,. -.
