set, forth in Section 2 . 2 . , above , is not <br /> satisfied prior to the Extended Closing Date, <br /> Walker shall assign on or before the Extended <br /> Closing Date all of its right, title and <br /> interest in and to the Purchase Agreement to <br /> the Agency whereupon this Agreement shall be <br /> null and void. <br /> d . In the event that the conditions <br /> precedent set forth in Sections 2.1 and 2.2 . , <br /> above , are satisfied prior to the Extended <br /> Closing Date, Walker shall assign all of its <br /> right , title and interest in and to the <br /> • Purchase Agreement to the Agency whereupon <br /> the following shall occur : <br /> 1 . On or before November 1 , 1985, the Agency <br /> shall acquire the Subject Premises pursuant <br /> to the terms and conditions of the Purchase <br /> Agreement , as extended. <br /> 2 . On November 1 , 1985 , the Agency shall <br /> convey all of its right , title and interest <br /> in and to the Subject Premises to Walker at a <br /> price equal to Two Thousand Eight Hundred and <br /> no/100 Dollars ( $2 , 800 . 00) per residential <br /> unit to be constructed as a part of Building <br /> B. Said conveyance shall be together with a <br /> n_o-n-e x c 1=us v e-e a-s e m e n-t-o ve-r-a-t-r ac t-of 1a nd -- -- <br /> contiguous to the Subject Premises for the <br /> purpose -of ingress to and egress from the <br /> Subject Premises . At the time of such <br /> conveyance , the Redevelopment Contract , as <br /> modified by the provisions of this Agreement , <br /> shall be fully applicable to Walker. <br /> 3. On or before November 1 , 1985 , the Agency <br /> shall conv-ey to the -Redeveloper without <br /> -6- <br />
