• - 2 - <br /> (4 ) St . Anthony agrees to pay its share to Columbia Heights in <br /> the following manner : <br /> (a) Partial payments shall be made not oftener <br /> than once each month up to ninety percent <br /> (90%) of St . Anthony share during the <br /> progress of the work , covering the proportion <br /> of the job completed in the previous month. The first <br /> payment shall include the cost of work for preliminary <br /> engineering completed between September 1 , 1985 , and <br /> the signing of this agreement . <br /> (b ) Final payment shall be made upon completion <br /> of the work and its acceptance by the Minnesota <br /> Department of Transportation , Director of State Aid . <br /> (5 ) Before this agreement shall become binding and effective , <br /> it shall be approved by Resolution of the City Council of the City <br /> of Columbia Heights and shall also be approved by Resolution of the <br /> City Council of St . Anthony as the law may provide . <br /> (6 ) If separate plans are needed for traffic signal repairs <br /> • and/or installations along with any street lighting installations <br /> said work shall be handled by resolution of each City Council . <br /> (7 ) Each City Council shall approve construction plans and an <br /> agreement for payment of construction costs including construction <br /> engineering according to State Aid guidelines prior to commencement <br /> of construction. <br /> (8 ) Amendments to this agreement shall be approved by <br /> resolution of each City Council . <br /> (9) St . Anthony shall be liable only to Columbia Heights for <br /> the share of preliminary engineering costs provided for in this <br /> agreement . St . Anthony, its City Council , and the agents and <br /> employees of the City, shall not be liable to the engineers or to <br /> any other person , firm, or corporation for any claims , demands , <br /> damages , actions or causes of action arising out of this agreement . <br /> Columbia Heights will hold St . Anthony and its City Council and the <br /> agents , officers and employees of St . Anthony, harmless from all <br /> claims , damages , demands , actions or causes of action arising out of <br /> this agreement , together with all costs , disbursements and expenses <br /> of defending the same . <br /> • <br />
