Section 2. The Board shall have full control over and management of its <br /> affairs, which shall include the powers (a) to enter into contracts, leases or similar <br /> agreements with others; (b) to provide for the prosecution, defense or other partici- <br /> pation in actions or proceedings at law in which it may have an interest; (c) to employ <br /> such persons as it deems necessary on a full-time, part-time or consulting basis; (d) to <br /> conduct research into any police selection matter; (e) to purchase, hold and dispose of <br /> property, both real and personal; (f) to purchase public liability insurance and other <br /> bonds or insurance; and (g) to contract for space, commodities or personal services with <br /> a member or a group of members. <br /> Section 3. The Board may establish and collect membership dues, charges for <br /> services to members and non-members, and charges for services to applicants or <br /> potential applicants for employment. <br /> Section 4. The Board may accept gifts, may apply for and use grants or loans <br /> • of money or other property from the state or federal governments or from any other <br /> governmental unit, may enter into any agreements required in connection therewith, <br /> and may hold, use and dispose of such moneys or property in accordance with the terms <br /> of the gift, grant, loan or agreement relating thereto. <br /> Section 5. The Board shall cause an annual independent audit to be made of <br /> the books of the SPRS, and it shall make an annual financial report to its members in <br /> writing prior to each year's February meeting of the Board. The books and records of <br /> the SPRS shall be available and open to examination by all members of the system at <br /> any reasonable time. The Board also shall establish an annual budget for the SPRS, in <br /> accordance with the applicable provisions of this agreement. <br /> Section 6. The Board may delegate authority to the Executive Committee <br /> between Board meetings, except that the Board may not delegate its authority to <br /> establish membership dues and service charges. Any such delegation of authority shall <br /> • be made by a resolution of the Board, and it may be conditioned in any such manner as <br /> the Board deems appropriate. <br />
