Section 7. The Board may exercise such other powers and duties as are <br /> • <br /> incidental to the above powers and duties, but which may be required to effectively <br /> implement and carry out this agreement. <br /> VII. Officers of the Board. <br /> Section 1. The officers of the Board shall consist of a President, a Vice <br /> President and a Secretary-Treasurer, all of whom shall be Directors. These officers <br /> shall be elected annually at the regular meeting of the Board held during the month of <br /> February. New officers shall take office at the adjournment of the Board meeting at <br /> which they are elected. <br /> Section 2. Upon the resignation or death of an officer, or upon an officer's <br /> ceasing to be an employee of the appointing member municipality, a vacancy shall <br /> occur in that office. Upon the occurrence of such a vacancy, the Executive Committee <br /> shall fill the vacant position on an interim basis until the next meeting of the Board. <br /> • Section 3. The three officers of the Board all shall be members of the <br /> Executive Committee. <br /> Section 4. The President shall preside at all meetings of the Board and the <br /> Executive Committee. The Vice President shall act as President in the absence of the <br /> President. <br /> Section 5. The Secretary-Treasurer shall be responsible for keeping a record <br /> of all proceedings of the Board and the Executive Committee, for the custody of all <br /> SPRS funds, for the keeping of all financial records of the SPRS, and for such other <br /> matters as may be delegated to this position by the Board. <br /> Section 6. The President and the Secretary-Treasurer shall sign all vouchers <br /> disbursing funds of the SPRS. <br /> VIII. Executive Committee. <br /> Section 1. The Board of Directors shall have an Executive Committee <br /> • consisting of the Board's three officers and four other Directors, all of whom shall be <br /> a <br />
