Lindgren <br />The HRA, City and the Developer, by notice given hereunder, may designate different <br />addresses to which subsequent notices, certificates or other communications should be sent. <br /> Counterparts. This Agreement may be executed in any number of counterparts, <br />each of which shall constitute one and the same instrument. <br /> Binding Effect. This Agreement shall inure to the benefit of and shall be binding <br />upon the HRA, the City and the Developer and their respective successors and assigns. <br /> Severability. In the event any provision of this Agreement shall be held invalid or <br />unenforceable by any court of competent jurisdiction, such holding shall not invalidate or render <br />unenforceable any other provision hereof. <br /> Amendments, Changes and Modifications. This Agreement may be amended or <br />any of its terms modified only by written amendment authorized and executed by the HRA, the <br />City, and the Developer. The Chair and Executive Director of the HRA are authorized to execute <br />and deliver amendments and any documents related to this Agreement on behalf of the HRA. The <br />Mayor and City Manager are authorized to execute and deliver amendments and any documents <br />related to this Agreement on behalf of the City. <br /> Further Assurances and Corrective Instruments. The HRA, the City, and the <br />Developer agree that they will, from time to time, execute, acknowledge and deliver, or cause to <br />be executed, acknowledged and delivered, such supplements hereto and such further instruments <br />as may reasonably be required for correcting any inadequate or incorrect description of the <br />Development Property or the Project or for carrying out the expressed intention of this Agreement. <br /> Captions. The captions or headings in this Agreement are for convenience only <br />and in no way define, limit or describe the scope of intent of any provisions or Sections of this <br />Agreement. <br /> Applicable Law. This Agreement shall be governed by and construed in <br />accordance with the laws of the State of Minnesota without giving effect to the conflicts-of-laws <br />principles thereof. <br /> Limited Liability. Notwithstanding anything to contrary provided in this <br />Agreement, it is specifically understood and agreed, such agreement being the primary <br />consideration for the execution of this Agreement by Developer, that (a) there should be absolutely <br />no personal liability on the part of any director, officer, manager, member, employee or agent of <br />Developer or the City or Authority with respect to any terms, covenants and conditions in this <br />22 <br /> <br />
