Agreement No. PW 31-10-21 Road Maintenance Agreement Contract No. _____________ 4 ___ 4.2.Schedule of Costs. The amounts set forth in the Exhibit C Schedule of Costs are based on a moving three–year average of Hennepin County’s total maintenance costs for snow and ice control on all County State Aid Highways and County Roads maintained by Hennepin County forces. The Costs for flushing and sweeping as defined in Exhibit C are based on a moving three–year average of the County’s maintenance costs for a Selected Sample of Urban County State Aid Highways, attached as Exhibit D for reference. 4.3.Payment Schedules. Payments under this Agreement shall be made on a semi- annual basis and as soon after the respective dates of April 30 and December 31 of each year as may be possible upon submission of an invoice by the City to the County. The County shall make payment within forty-five (45) days from receipt of the invoice. 5.Inspection. The aforesaid County State Aid Highways shall be inspected periodically by authorized representatives of the County to determine the adequacy of the work performed under this Agreement. If it is reasonably determined by the County that the City is not performing the work described herein under the terms of this Agreement, then the County authorized representative or designees shall provide the City authorized representative or designees a written notice to correct the identified work. The County shall provide the City reasonable time to take corrective action. If after the notice, the identified work has not been reasonably corrected, then the County may do and perform such work or cause it to be done and performed, and may retain from any monies then due to the City under this Agreement, or thereafter becoming due, any such amount as is required for the completion of such work provided, however, this paragraph shall not be construed to relinquish any rights of action which may accrue on behalf of the County as against the City for any breach of Agreement. 6.Authorized Representatives. In order to coordinate the services of the County with the activities of the City and vice versa so as to accomplish the purposes of this Agreement, the following County and City representatives or their designees shall manage this Agreement on behalf of the County and the City.
